Terms & Conditions

These terms govern access to and use of the Client & Project Portal.

Passages highlighted below are awaiting review by legal counsel. They are shown here rather than withheld, so that the terms you are agreeing to are complete and visible. They may be revised before this version is finalised; the effective date will change if they are.

Please read these Terms and Conditions ("Terms") carefully before accessing or using the Client & Project Portal. By logging in, accessing, or using the Portal, you agree to be bound by these Terms and all applicable laws. If you do not agree to these Terms, you may not access or use the Portal.

1. Overview & purpose

These Terms and Conditions govern your access to and use of the Client & Project Portal (the "Application" or "Portal"), provided by 9144820 Canada Inc., doing business as Meginteractive Solutions (the "Company", "we", "us", "our"), 298 rue Picasso, Dollard-des-Ormeaux, Quebec H9A 3K3, Canada.

The Application is designed to facilitate real-time project management, task tracking, Jira ticket association, developer time tracking, customer accounts, and related administrative functionality for authorized programmers, developers, and client representatives ("Client", "User", "you").

2. Scope of service

The Application provides transparency and operational visibility into ongoing projects.

What client users can see. Client access is read-only. Signed-in client representatives can view reporting on their own engagement, including project activity, task progression, and hours logged against the work. Client users do not upload documents, create content, or modify records.

What the Company uses it for. Company personnel additionally use the Application to assign and track developer to-dos mapped to Jira tickets, record time against those tickets, and carry out related project and administrative functions. Those functions are not available to client users.

Access is provided at no additional charge, as a supplementary convenience tool in connection with your primary service agreement or statement of work with the Company. The Portal is not a standalone software service and is not sold separately.

3. Account security & access controls

3.1 Registration & authorization. Access to the Application is restricted solely to authorized internal team members and designated client representatives. You represent that all individuals logging in under your organization's account are duly authorized to access project records and information.

3.2 Credential protection. You are responsible for maintaining the confidentiality of all login credentials associated with your account. You agree not to share, assign, or transfer account credentials to unauthorized third parties.

3.3 Security notification. You must notify the Company promptly of any unauthorized access, security breach, or suspected compromise of your account credentials. Subject to section 8.3, the Company is not liable for loss or damage arising from your failure to safeguard credentials.

4. Time tracking & real-time data

4.1 Preliminary nature of live data. The Application displays real-time time tracking, task progress, and ticket updates associated with project activities ("Live Data"). You acknowledge and agree that all Live Data presented within the Application — including active hours logged by individual team members — is provided for preliminary informational and transparency purposes only.

4.2 Non-binding status & reconciliation. Live Data does not constitute a final invoice, a binding statement of total hours worked, or a guarantee of final billing figures. All logged time remains subject to internal review, administrative reconciliation, and final approval prior to the issuance of official invoices.

4.3 Adjustments & discrepancies. The Company may adjust, add, or deduct logged time entries during routine review (for example, to account for manual time adjustments, missing entries, internal administrative tasks, or corrections). Official billing and payment obligations are governed solely by the final invoices issued by the Company, rather than by the raw data displayed in the Application at any given moment.

4.4 System availability & third-party syncing. Real-time updates depend on continuous system operation and third-party integrations, including Jira. The Company does not represent or warrant that Live Data will be error-free, uninterrupted, or updated instantaneously.

5. Acceptable use

When using the Client & Project Portal, you agree that you will not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;
  • Scrape, mine, or extract data from the Application using automated bots, crawlers, or scripts;
  • Interfere with, disrupt, or compromise the integrity or security of the Application or underlying server infrastructure;
  • Use the Portal to transmit malicious code, viruses, or harmful software; or
  • Grant access to, or disclose internal portal data to, direct competitors of the Company.

6. Intellectual property

6.1 Platform ownership. The Company retains all rights, title, and interest in and to the Application, including all software code, architecture, UI/UX designs, workflows, database structures, logos, and trademarks. Nothing in these Terms grants you any ownership interest in the Application.

6.2 Your project information. Client users do not upload content to the Portal. The project information displayed there is generated by the Company in the course of performing your engagement, and may reflect your confidential business materials and specifications. You retain ownership of that underlying material; nothing in these Terms transfers it to the Company, and its handling is governed by your primary service agreement and by section 10.

7. Third-party services & integrations

The Application integrates with third-party software, including Atlassian Jira, cloud database hosting providers, and server infrastructure. The Company is not responsible for downtime, API modifications, data synchronization delays, or service interruptions caused by such third-party providers.

8. Limitation of liability

8.1 "As-is" provision. The Application is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability or fitness for a particular purpose.

8.2 Exclusion of consequential damages. To the maximum extent permitted by applicable law, the Company, its directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, business interruption, or system outages — arising out of or in connection with your use of or inability to use the Application.

8.3 Limits that cannot be excluded. Nothing in these Terms excludes or limits the liability of the Company for bodily or moral injury, or for intentional or gross fault, to the extent that such exclusion or limitation is prohibited by the Civil Code of Québec.

9. Account termination & suspension

9.1 Grounds for termination. The Company may suspend or terminate your access to the Application at any time, with or without prior notice, if:

  • You breach any provision of these Terms or your underlying service agreement;
  • You have overdue, unpaid balances or active billing disputes under your primary service agreement;
  • The underlying client agreement or project engagement expires or is terminated; or
  • We suspect fraudulent, unauthorized, or malicious activity associated with your account.

9.2 Effect of termination. On termination of portal access, your right to log into the Application ceases immediately. Termination of portal access does not relieve you of any payment obligations incurred under your primary service contract.

9.3 Project records after termination. On termination you may, within thirty (30) days, request a copy of the project records relating to your engagement, such as time summaries and project history. Personal information is handled in accordance with our Privacy Policy, and the Company may retain records it is required by law to keep.

10. Confidentiality & privacy

All non-public project details, software architectures, Jira tickets, developer time entries, and financial estimates displayed in the Portal are confidential. Both parties agree to protect such information with reasonable care.

Handling of personal information is governed by our Privacy Policy, accessible from the footer of our website and from the Portal login page.

11. Modifications to these terms

The Company may update or modify these Terms. Updated versions will be posted within the Application and on our website with a revised effective date. Where a change is material, we will give you reasonable advance notice. If you do not accept a revised version, you may decline it by notifying us and discontinuing use of the Portal, and we will close your portal access. Declining revised Terms does not affect the rights and obligations under your primary service agreement.

12. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws in force in the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively before the courts of the judicial district of Montréal, Québec.
